End User License Agreement (EULA)

This End User License Agreement (the “Agreement” or “Terms of Use”) constitutes a legally binding agreement between you (“End User”, “you”, or “your”) and Appresio Ltd, a company incorporated under the laws of England and Wales, with its registered office at 86–90 Paul Street, London EC2A 4NE, England (“Appresio Ltd”, “Appres Apps”, “we”, “us”, or “our”), governing your access to and use of our mobile applications, websites, and related services.

By downloading, installing, accessing, or using any application published by Appresio Ltd through the Apple App Store, including any updates, upgrades, patches, content, or services made available therein (collectively, the “Applications” or “Apps”), you acknowledge that you have read, understood, and agree to be legally bound by the terms and conditions of this Agreement.

If you do not agree to be bound by this Agreement, you must not download, install, access, or use the Applications.

IMPORTANT APPLE NOTICE

The parties acknowledge and agree that Apple Inc. (“Apple”) is not a party to this Agreement and has no responsibility or liability whatsoever with respect to the Applications, including but not limited to any warranties, maintenance, support, product claims, or legal compliance. Appresio Ltd, and not Apple, is solely responsible for the Applications and their content.

This Agreement is intended to comply with Apple’s App Store Terms of Service, and nothing herein shall be interpreted to conflict with such terms.

All rights not expressly granted to you under this Agreement are expressly reserved by Appresio Ltd.

1. THE APPLICATIONS

Appres Apps refers to software applications and related digital products developed, owned, operated, and managed by Appresio Ltd, including but not limited to mobile applications and games (each an “App”, collectively the “Apps”), together with any associated documentation, features, content, images, logos, audio, video, text, and other materials incorporated therein (the “App Content”).

The Applications are consumer-oriented software products and are not designed, intended, or certified to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA), the Federal Information Security Management Act (FISMA), the Gramm-Leach-Bliley Act (GLBA), or similar regulatory frameworks, and therefore you may not use the Applications in any manner that would subject Appresio Ltd to such regulatory requirements.

2. SCOPE OF LICENSE

2.1 License Grant

Subject to your continuous compliance with this Agreement, Appresio Ltd grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to download, install, and use the Applications solely on Apple-branded devices that you own or control, strictly in accordance with Apple’s App Store Usage Rules and this Agreement.

2.2 Updates

This license also applies to any updates, upgrades, or replacements of the Applications provided by Appresio Ltd, unless such update is accompanied by a separate license agreement, in which case that agreement shall govern.

2.3 Restrictions

You shall not, except as expressly permitted by applicable law or with Appresio Ltd’s prior written consent:

Any violation or attempted violation of these restrictions may result in immediate termination of this Agreement and may subject you to civil and criminal liability.

2.4 Reservation of Rights

Appresio Ltd reserves all rights not expressly granted to you under this Agreement and may modify the licensing terms at its sole discretion, subject to applicable law.

3. TECHNICAL REQUIREMENTS

You acknowledge and agree that the Applications require compatible hardware, software, and firmware versions, as specified on the App Store listing, and that it is your sole responsibility to ensure that your device meets such technical requirements.

Appresio Ltd does not guarantee that the Applications will be compatible with all devices or future operating system versions and reserves the right to modify technical specifications at any time without prior notice.

4. MAINTENANCE AND SUPPORT

Appresio Ltd is solely responsible for providing any maintenance and support services for the Applications, to the extent required by applicable law. Apple has no obligation whatsoever to furnish maintenance or support services for the Applications.

5. USE OF DATA

You acknowledge and agree that Appresio Ltd may collect, access, process, and use certain personal and technical data in connection with your use of the Applications, and that such data processing is governed exclusively by our Privacy Policy, available at:

6. USER-GENERATED CONTRIBUTIONS

The Applications may, now or in the future, permit you to submit or transmit content, feedback, suggestions, or other materials (“Contributions”). By submitting any Contributions, you represent and warrant that such Contributions comply with all applicable laws, do not infringe third-party rights, and do not contain unlawful, harmful, offensive, misleading, or inappropriate material.

You remain solely responsible for your Contributions and agree to indemnify and hold Appresio Ltd harmless from any claims arising therefrom.

7. CONTRIBUTION LICENSE

By submitting Contributions, you grant Appresio Ltd a worldwide, non-exclusive, royalty-free, irrevocable license to use, store, reproduce, modify, and distribute such Contributions for the operation and improvement of the Applications, without compensation to you.

8. LIABILITY DISCLAIMER

To the maximum extent permitted by applicable law, Appresio Ltd shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, loss of profits, or interruption of business, arising out of or related to your use of or inability to use the Applications.

9. WARRANTIES

The Applications are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. PRODUCT CLAIMS

Appresio Ltd, and not Apple, is solely responsible for addressing any claims relating to the Applications, including product liability claims, legal compliance claims, or consumer protection claims.

You represent and warrant that you are not located in a country subject to embargoes or sanctions imposed by the United States, United Kingdom, or European Union, and that you are not listed on any prohibited or restricted party list.

12. TERMINATION

This Agreement is effective until terminated by you or Appresio Ltd. Appresio Ltd may terminate this Agreement immediately and without notice if you breach any provision herein, upon which you must cease all use of the Applications and delete all copies.

13. THIRD-PARTY BENEFICIARY

Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce its terms against you.

14. INTELLECTUAL PROPERTY

All intellectual property rights in and to the Applications and App Content remain the exclusive property of Appresio Ltd or its licensors.

15. SUBSCRIPTIONS

Subscriptions may include free or paid trials and automatically renew unless cancelled at least 24 hours before the end of the current billing period. Payments, renewals, cancellations, and refunds are handled exclusively through Apple in accordance with App Store policies.

Uninstalling the App does not cancel your subscription.

16. MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

This Agreement constitutes the entire agreement between you and Appresio Ltd regarding the Applications and supersedes all prior agreements.
